Sarah Staudenraus is a partner in 乐鱼（Leyu）体育官网 LLP鈥檚 Washington National Tax practice in the firm's Passthroughs group. She focuses on the federal tax implications associated with entities taxed as partnerships, including forming and liquidating partnerships, acquisition and sales of partnership interests, current and liquidating property distributions from partnerships, and debt restructurings involving partnerships. Sarah routinely advises on partner allocations and the implications of tax provisions in partnership agreements. She also helps clients structure transactions involving entities taxed as partnerships, and prepares or reviews memoranda, private letter ruling requests, and tax opinions.
Sarah's clients include private equity and alternative investment funds, real estate funds, energy funds, and operating partnerships.
Sarah joined 乐鱼（Leyu）体育官网 in 1996 as a direct hire to the U.S. Corporate Tax Group in London, England. While there, she advised primarily U.K. and European clients on their U.S. tax implications associated with inbound U.S. investing and transactions. She also advised U.S. shareholders with respect to the U.S. tax implications of investment in foreign corporations and foreign partnerships. Subsequently, Sarah transferred within 乐鱼（Leyu）体育官网 to the Raleigh, North Carolina, office where she provided U.S. income tax advising and compliance services to a variety of clients, predominately foreign private equity funds and companies with international operations. Sarah served as the international tax resource for the Carolinas business unit. Previous to her employment with 乐鱼（Leyu）体育官网, she functioned as a financial accounting comptroller in private industry.

The Passthroughs group is responsible for providing insight to 乐鱼（Leyu）体育官网 professionals and clients regarding the federal taxation of partnerships, real estate investment trusts, and S corporations across all major industries. In addition, the Passthroughs group advises in specialty areas such as like-kind exchanges, oil and gas, leasing, and excise taxes. Client services include transaction structuring, the issuance of opinions, and requesting private letter rulings.
