Tom leads 乐鱼（Leyu）体育官网鈥檚 Mergers and Acquisitions (鈥淢&A鈥�) Tax practice in Pennsylvania. Tom joined 乐鱼（Leyu）体育官网 in 2002 after working in the tax and business advisory practices of two competitors. Prior to such time, he worked in the corporate finance department of a Fortune 500 apparel retailer. He spent over four years in 乐鱼（Leyu）体育官网鈥檚 Philadelphia M&A Tax practice, was then seconded to the U.S. tax group in the U.K. member firm of 乐鱼（Leyu）体育官网 International in September 2006, and in January 2010, Tom repatriated to 乐鱼（Leyu）体育官网鈥檚 M&A Tax practice in Philadelphia. Tom is the 乐鱼（Leyu）体育官网 U.S. leader for M&A Tax in the Life Sciences / Pharmaceuticals industry, as well as for Sell-Side Services for all industries. He is also a lead partner in the 乐鱼（Leyu）体育官网 U.S. Inbound Tax Practice.
Tom focuses on providing various U.S. M&A and international tax consulting services to clients, including advising on issues arising in connection with cross-border and domestic mergers, acquisitions, divestitures, and reorganizations. Tom has experience within the following industries: Life Sciences / Pharmaceutical, Consumer and Industrial, Private Equity, Aerospace and Defense, Financial Services, and Information and Communications.
His specific responsibilities include: tax structuring of domestic and cross-border acquisitions, divestitures and (re)financings, tax due diligence assistance services, treaty qualification issues, earnings & profits (鈥淓&P鈥�) and stock basis analyses, Section 382 ownership change analyses, post-acquisition integration (including transaction cost analyses), and financial modeling services.
